Business-use digital product addendum

These terms supplement the Zinvyl Marketplace and Service Terms for a separately identified, prewritten downloadable product.

Terms version: 2026-10-26.digital-terms-v1. License version: 2026-10-26.digital-license-v1. The accepted versions are recorded with the purchase intent, quote, Stripe Checkout Session, funded order, and delivery entitlement.

Business purchaser and authority

The product is offered only to a business or organization through an adult authorized representative with authority for the exact product, base price, applicable transaction tax, and policies shown before checkout. It is not offered for personal, family, or household use. A buyer or electronic agent may not change its own authority, and a checkout redirect or assertion is not proof of funding.

Product and delivery

The purchase covers one copy of the exact product version identified at checkout. It does not include consulting, customization, implementation, production access, credential handling, monitoring, updates, support, or a promised business or technical result unless the product description expressly states otherwise. Delivery occurs only after Zinvyl verifies a signed live Stripe payment event and stages the exact integrity-checked file in the buyer's private order workspace.

Limited internal-business-use license

After full payment, Zinvyl grants the purchasing organization a perpetual, non-exclusive, non-transferable license to download, retain, reproduce, and adapt the product solely for its own internal business operations. The buyer may allow its employees and contractors to use the product only for that organization and subject to protections at least as restrictive as this license. The buyer may not resell, sublicense, publish, distribute, share outside its organization, remove proprietary notices, use the product to create a competing product for external distribution, or represent Zinvyl's material as its own. No ownership in Zinvyl's templates, methods, marks, or other intellectual property transfers.

Buyer responsibilities

The buyer is responsible for deciding whether the product fits its operating context, safeguarding the private download, and obtaining professional review where required. The product is general operational material and is not legal, tax, accounting, medical, safety, security-certification, or other regulated professional advice. The buyer must not use it to authorize unlawful access, conceal harmful conduct, or bypass a system owner's controls.

Download and retention

The private download remains available for 14 calendar days after verified funding. That availability window does not shorten the paid license after the buyer downloads the file. The buyer must retain its own authorized copy. Zinvyl may revoke access after a full refund, reversal, dispute, fraud or authority failure, security incident, or material breach, subject to rights that cannot lawfully be waived.

Relationship to other terms

The current Zinvyl Marketplace and Service Terms, Privacy Policy, Acceptable Use Policy, Security statement, and digital-product refund policy also apply. This addendum controls only where it specifically addresses the prewritten digital product. Nothing in these terms limits a right or remedy that cannot lawfully be waived.
